Officers' Liability

A corporation is a separate entity: shareholders and officers are not liable for the acts of the corporation (provided they are lawful).

Officers required for corporations in Nevada are:

  • President: responsible for the company in general
  • Secretary: responsible to keep the company minutes in order
  • Treasurer: responsible to keep the accounting in order
  • At least one Director, which controls that the oporations follow the line desired by the shareholders.

Interesting thing about Nevada is that all the positions can be held from a single person, which can be of whatever nationality and can be living elsewhere in the world.

Officers' charges are annual, and by renewal you can change the names as you wish. You can modify officers' charges also at any moment during the year if you like, by paying a small extra fee.
